Lokanda Terms of Service
Effective from: 6 November 2026
1. General provisions
These Terms govern the use of services provided by Michał Fox, trading under the brand "Lokanda" ("Lokanda", the "Operator", "we", "us"), based in Kraków, email: hello@lokanda.pl, including the Lokanda panel subscription for food service venues and the website lokanda.pl.
These Terms are standard contract terms within the meaning of Article 384 of the Polish Civil Code and terms of electronic services within the meaning of Article 8 of the Polish Act of 18 July 2002 on Providing Services by Electronic Means.
We provide the service only to businesses, in connection with their business or professional activity. We do not contract with consumers. Sole traders protected as consumers have the additional rights described in section 16. Venue guests are not party to the Agreement and do not open an account.
The Agreement consists of these Terms, the Data Processing Agreement and the Plan selected for the venue. A separate agreement signed by the Parties prevails on the matters it covers. On personal data the Data Processing Agreement prevails over these Terms.
The Client's general terms of business do not bind us unless we expressly accept them in Documentary form.
These Terms are available free of charge on the Website in a form that can be printed and saved as a PDF. On request we send them by email.
2. Definitions
Capitalised terms in these Terms mean:
- Agreement
- the service agreement between us and the Client on the terms of section 1.4.
- Billing period
- a month or a year counted from the day the Subscription starts, for which the Subscription is paid.
- Client
- a business running a food service venue that has entered into the Agreement with us.
- Documentary form
- a statement in a form that identifies the person making it, in particular an email or a Ticket.
- Guest
- a person who books a table at a venue or whose reservation was recorded by the venue's staff.
- Guest pages
- the venue's public menu and reservation form, available without signing in, also through a QR code or a widget embedded on the venue's website.
- Panel
- the Lokanda web application available at https://app.lokanda.pl.
- Plan
- a Subscription tier with the price described in section 6.1 and the features described in section 3.2.
- Service messages
- email messages to a Guest about their reservation, described in section 11.
- Sole trader protected as a consumer
- a natural person entering into the Agreement directly connected with their business, where the Agreement shows that it is not of a professional nature for them, in particular given the business activity listed in CEIDG.
- Subscription
- paid access to the Panel for one venue, billed in Billing periods according to the selected Plan.
- Ticket
- a message sent to us in the Support section of the Panel.
- Trial
- the free period of using the Panel described in section 5.3.
- User
- a person using the Website or the Panel, including a person the Client adds to a venue.
- Website
- the website lokanda.pl and its subpages.
3. Scope of the service
Under the Subscription we give the Client access to the Panel for running a venue, which, depending on the selected Plan, covers:
- a menu with prices, descriptions and allergens;
- a floor plan and table reservations;
- bills, orders and a kitchen view;
- events and promotions;
- inventory, suppliers and purchase orders;
- staff schedules and time-off requests;
- reports;
- guest cards with reservation history;
- Guest pages;
- Service messages.
The exact features and limits available to a venue are shown in the Panel, in the Billing tab of the settings.
We charge no commission on reservations, orders or the venue's turnover. For using the Panel the Client pays only the Subscription.
The Panel does not take payments from Guests. It only records the payment method indicated by the venue's staff.
A Subscription covers one venue. One account can have access to several venues, and each of them has its own Plan.
The Subscription is a service of due care. The number of Guests and reservations and the venue's turnover do not depend on us, so the Agreement does not set them.
4. Fiscal till
The Panel is not a fiscal cash register and is not part of one. It works alongside the venue's fiscal till, does not connect to it and does not pass data to it.
The fiscal obligation stays entirely with the venue. This covers in particular recording sales on a fiscal cash register, issuing fiscal receipts and invoices, and settling taxes. The Subscription does not transfer any of these obligations to us.
Bills, printouts and reports from the Panel, including the day close report, are the venue's working documents. They are not fiscal receipts or invoices, do not replace them and are not a record of sales.
Amounts in the Panel may differ from amounts in the fiscal till, because staff enter them separately. The venue's tax settlements are based on the data from the fiscal till.
5. Entering into the Agreement and the Trial
The Agreement is entered into in the Panel. The User provides a name, an email address and a password, creates a venue and accepts these Terms and the Data Processing Agreement. The Agreement is made when the account is opened. We send the documents by email to the account address.
The person opening the account declares that they are authorised to enter into the Agreement on behalf of the Client and that the Client does so in connection with its business.
The Trial lasts 30 days and covers all Panel features. It needs no payment card and costs nothing.
When the Trial ends we charge nothing automatically. If the Client does not choose a Plan, the venue's Panel becomes read-only: the data is not deleted, the Client can view and export it, send Tickets, change the invoicing details and erase guest data, the menu page for guests keeps working, and online reservations are turned off.
The Client chooses the Plan and the Billing period in the way shown in the Panel. The Subscription starts on the day the first payment is booked.
6. Plans and fees
Plan prices:
| Plan | Monthly, net | Paid yearly, net per month |
|---|---|---|
| Floor | PLN 149 | PLN 125 |
| Service | PLN 299 | PLN 250 |
| Whole venue | PLN 449 | PLN 375 |
Email messages to Guests are not limited.
We add VAT to the prices where it applies, including under the reverse charge mechanism.
The Subscription is paid in advance: a monthly one for each month, a yearly one for the whole year. It renews for the next Billing period for as long as the Agreement lasts.
We issue invoices electronically to the details the Client provides in the Billing tab and send them by email. The Client accepts electronic invoices.
The Client pays by bank transfer within the term stated on the invoice. If we make card payments available, they are handled by the payment operator named in the Panel. The payment date is the day our account is credited or the payment is booked by the payment operator.
The Client orders a Plan change in the way shown in the Panel. The new Plan applies from the next Billing period.
We may change the price with at least 14 days' notice, by email and in the Panel. The new price applies from the next Billing period. A Client who does not accept it may terminate the Agreement with effect at the end of the current Billing period.
If a payment is late we may charge statutory interest for late payment in commercial transactions and compensation for recovery costs under the Polish Act of 8 March 2013 on Counteracting Excessive Delays in Commercial Transactions.
7. Failed payment and suspension
If a payment does not arrive on time we say so by email and in the Panel. For 14 days from the due date the venue works normally.
After that period we may suspend the venue until payment. During suspension:
- the Panel is read-only and the venue's data stays intact;
- Tickets and editing the invoice details keep working;
- the public menu and the reservation form are unavailable, so the venue takes no new online reservations;
- we do not cancel existing reservations, and the venue informs Guests about them.
After the arrears are paid we restore the venue without delay.
If the arrears continue despite a demand for payment within a reasonable period set in the demand, we may terminate the Agreement with immediate effect.
8. Term and termination
The Agreement is made for an indefinite term.
The Client may terminate the Agreement at any time by sending a Ticket or an email from the account owner's address to hello@lokanda.pl. Termination takes effect at the end of the paid Billing period, and for a yearly Subscription at the end of the paid year. During the Trial and in the read-only mode after it the Client may terminate with immediate effect.
Until the termination takes effect the venue works normally. The Client may withdraw the notice until that day.
We may terminate the Agreement with immediate effect if the Client:
- is in arrears under section 7.4;
- uses the Panel or the Guest pages for unlawful activity;
- sends marketing content through the Panel or otherwise materially breaches the Agreement and does not remedy the breach within a reasonable period set by us.
The Client may terminate the Agreement with immediate effect if we materially breach it and do not remedy the breach within a reasonable period set by the Client.
We may terminate the Agreement without giving a reason on at least 14 days' notice. We then refund the part of the Subscription for the unused time of the Billing period.
We do not refund a Billing period that has started, including a yearly Subscription, unless the Agreement ends through our fault or under section 8.6. In that case we refund the part of the Subscription for the unused time of the period. The rights in section 16 are unaffected.
9. After the Agreement ends
For 30 days after the Agreement ends the Panel is read-only for the venue. The Guest pages are unavailable during that time.
During that time the Client may view the venue's data and download the CSV reports available in the Panel. On a request made during that time we provide a copy of the venue's data, including guests and reservations, in CSV format.
The Client keeps all data it entered into the Panel or that was created in its venue: menu, guest cards, reservations, bills, schedules, inventory and the reports downloaded during that time. It may use them without limits of time or territory, subject to data protection law.
We keep the Panel and the software, and the know-how gained in developing them. The right to use the Panel ends with the Agreement, and read access ends after the period in section 9.1.
Once the read-only period has passed, within 30 days, we delete the account and the venue's data, except invoices and billing data, which we keep for the period required by tax law, and data needed to establish or defend claims. Details are in the Data Processing Agreement and the Privacy Policy.
10. The Client's obligations
The Client is responsible for the content it enters into the Panel and that Guests see, in particular the menu, prices, descriptions, allergen information, opening hours, promotions and events.
The Client is the controller of the data of Guests, its staff and its suppliers, and gives them the required information. The notice for Guests shown at the reservation form is a template that the Client checks and, where needed, completes.
The Client adds Users to the venue with the owner, manager or staff role and grants them permissions. It is responsible for those people and for actions taken from their accounts.
The Client must not enter unlawful content into the Panel, disrupt its operation or attempt unauthorised access. In free-text fields such as remarks and notes the Client enters only what is needed to run the venue.
The Client indemnifies us against third-party claims arising from the content it entered into the Panel and from its dealings with Guests, and covers reasonable defence costs, provided it is promptly told about the claim and allowed to take part in the defence.
11. Messages to Guests
The Panel sends Guests email messages only about their reservation: confirmation, change, reminder and cancellation. Each message names the venue.
The Panel is not a marketing tool. Service messages contain no advertising or commercial information, and the Client must not use them for that purpose.
Delivery also depends on service providers and network operators. The venue should have another way of confirming a reservation in case a message does not arrive.
12. Panel availability
We look after the continuity of the Panel and fix failures with due care. The Agreement does not set a guaranteed availability level.
We announce planned technical breaks in advance by email or in the Panel.
The Panel needs an internet connection. The venue should have a way of serving Guests during a break in internet access or in the Panel. The Client reports failures to us in a Ticket or by email.
13. Liability
We perform the Agreement with the care expected of a professional and are liable for the people we use as for ourselves.
The Operator's total liability to the Client under the Agreement, on any legal basis, is limited to the net fees paid by the Client in the 12 months before the event that caused the damage.
We are not liable for lost profits, including lost revenue, or for indirect damage.
In particular we are not liable for:
- the venue's fiscal and tax obligations and differences between the Panel and the fiscal till;
- content entered by the venue, including allergen information and prices;
- the decisions and no-shows of Guests;
- messages not delivered for reasons on the side of network operators and recipients' mailbox providers;
- breaks in internet access on the venue's side and the operation of the venue's devices;
- the venue's website on which the widget is embedded.
The limits in sections 13.2 to 13.4 do not apply to damage caused intentionally, to personal injury or to cases where the law does not allow liability to be limited.
14. Confidentiality
The Parties keep confidential the information obtained in connection with the Agreement, in particular access credentials, the venue's sales data, Guest data and the terms of cooperation.
This does not apply to information that is public, was known to the Party before the Agreement, or must be disclosed by law. In that last case the Party discloses only what is necessary and, where allowed, warns the other Party.
We do not name a venue as our client in marketing materials without the Client's consent in Documentary form.
Confidentiality continues after the Agreement ends.
15. Personal data
The Operator is the controller of the data of the Client and of Users. See the Privacy Policy.
The Client is the controller of the data of Guests and of the venue's staff and suppliers, and we process it as a processor, on the Client's instructions. Email and server providers are sub-processors. See the Data Processing Agreement, which the Parties enter into by accepting these Terms.
16. Sole traders protected as consumers
A Sole trader protected as a consumer has protection against unfair contract terms, the right to withdraw from a distance contract and remedies for a service that does not conform to the contract, to the extent the law grants them. Provisions of these Terms that conflict with those rules do not bind such a Client.
A Sole trader protected as a consumer may withdraw from the Agreement without giving a reason within 14 days of entering into it. It is enough to send a statement before that period ends, for example by email to hello@lokanda.pl. The model form in the annex to these Terms may be used but is not required.
We give access to the Panel before the withdrawal period ends only at the express request of such a Client, made when opening the account or later in Documentary form. The Client then acknowledges that it pays for the service provided up to the withdrawal.
Withdrawing during the Trial costs nothing, because the Trial is free. If the Client has already paid for a Subscription and withdraws, it pays in proportion for the time it used the Panel up to the withdrawal. We refund the rest within 14 days of receiving the statement, using the same payment method unless the Client agrees to another method at no cost to it.
Sections 10.5 and 13.2 to 13.4 do not apply to a Sole trader protected as a consumer to the extent consumer protection law provides otherwise.
17. Complaints
Complaints about the Subscription, the Website and the Panel may be made in a Ticket or by email to hello@lokanda.pl.
A complaint should name the venue, describe the problem and, where possible, say how the Client wants it resolved. A complaint without these details is still considered.
We reply within 14 days of receiving the complaint, in the form in which it was made.
18. The Website and the Panel
By electronic means we provide, free of charge, access to the content of the Website and, under the Agreement, an account in the Panel. An agreement to use the Website is made when you start using it and can be ended at any time by ceasing to use it.
To use the Panel you need a device with internet access, an up-to-date browser with JavaScript and the cookie needed to sign in, and an active email address. What we store in the browser is described in the Cookie Policy.
Users protect their password and do not share it. In the Panel settings a User sees their active devices and can end the session on each of them.
Using the internet carries risks such as malware and phishing for login details. We never ask for a password by email.
19. Changes to these Terms
We may change these Terms for important reasons, in particular a change in the law, a decision of an authority, a change in the scope or manner of the service, or security.
We announce a change by email and in the Panel at least 14 days before it takes effect, and a price change under section 6.8.
A Client who does not accept a change may, before it takes effect, terminate the Agreement with effect on the day before the change. This does not apply to changes required by law or changes that only benefit the Client. Previous versions of these Terms are available on request.
20. Final provisions
The Agreement is governed by Polish law.
The Parties try to settle disputes amicably. Disputes with Clients are decided by the common court competent for the registered office or place of business of the Operator, and disputes with Sole traders protected as consumers by the court competent under the general rules.
The Parties communicate by email and in the Panel. Statements made this way meet the requirement of Documentary form. A message sent to the last email address of the account owner is considered delivered.
These Terms are available in Polish and English. If they differ, the Polish version prevails.
If a provision turns out to be invalid, the others continue to apply, and the provision closest to its purpose applies in its place.
The Client may not transfer rights or obligations under the Agreement to a third party without our consent in Documentary form.
These Terms are effective from 6 November 2026.
